Workshop Contributor Agreement and Consent.

What you are agreeing to

You are about to make music with other people in an Amerge workshop. In plain terms:

  1. Amerge will own the copyright in the music made in this session, both the recording and the song.
  2. You get a share of the revenue if that music ever earns money. For the 2026 FWB Fest workshop, 60% is reserved for direct contributors, 20% for the participating crowd, and 20% for the Amerge treasury. Each participant pool is divided equally, subject to whole-unit rounding.
  3. Your name and your percentage will be public.
  4. Your wallet address and allocation may be recorded permanently on a public blockchain.
  5. You will be recorded, on audio, photo, and video, and Amerge can use that footage and your name and likeness to promote Amerge.
  6. Nothing is guaranteed. The song may never be released, licensed, or earn anything.

The full terms are below. You must be 18 or older.


1. Definitions

"Workshop" means the Amerge session identified at signup, including its date, location, and participants.

"Music" means every sound recording and underlying musical composition, including lyrics, arrangements, performances, production elements, session files, stems, mixes, masters, alternate versions, and edits, that you create, start, materially develop, contribute, record, or incorporate into the Workshop.

"Agreement" means this Workshop Contributor Agreement and Consent, together with the Amerge Terms of Service and Privacy Policy.


2. Eligibility and Representations

You represent and warrant that:

(a) You are at least eighteen (18) years old and have full authority to enter this Agreement. (b) You own or control the rights you assign here and may grant them. (c) This Agreement and your participation do not breach any label, publishing, administration, distribution, management, employment, union, guild, or confidentiality agreement. If you are signed to a label, publisher, or administrator, or are a member of a union or guild, notify Amerge before participating. (d) Except for material disclosed and approved under Section 4, the Music is original and infringes no copyright, trademark, contract, privacy, publicity, moral, or other right. (e) The Music contains no undisclosed sample, interpolation, third-party material, or AI-generated or synthetic material.


3. Assignment of Rights

3.1 You irrevocably transfer and assign to Amerge, automatically upon creation, fixation, or contribution, throughout the world for the full term of copyright and all renewals and extensions, all right, title, and interest you own or control in the Music, including one hundred percent (100%) of your interest in the sound recording (master) and the composition, and all copyrights, neighboring rights, and other assignable intellectual property rights.

3.2 The assignment includes the exclusive rights to reproduce, distribute, publicly perform, publicly display, transmit, synchronize, advertise, promote, publish, adapt, arrange, edit, remix, create derivative works from, license, sublicense, register, administer, collect, enforce, settle claims concerning, sell, transfer, and otherwise exploit the Music, in all media now known or later developed.

3.3 You will execute any further documents reasonably requested to confirm or register Amerge's rights. If you fail to do so after reasonable written notice, you appoint Amerge as your attorney-in-fact solely to execute documents evidencing this assignment. This appointment is coupled with an interest and is irrevocable to the extent permitted by law.

3.4 Except for the revenue participation described below, you retain no independent right to license, administer, distribute, or exploit your assigned interest. Nothing here waives any copyright termination right that cannot lawfully be waived in advance.


4. Pre-Existing, Sampled, and AI Material

You must fully disclose, and obtain Amerge's prior written approval for, any beat, hook, lyric, melody, recording, sample, interpolation, third-party material, generative-AI output, synthetic voice or likeness, or sound-alike material that you did not create and fully own. Unapproved material may not be included in the Music.

Generative-AI music, synthetic voices or likenesses, and AI-created lyrics, melodies, recordings, or production elements may not be contributed unless Amerge gives prior written approval. Approved AI-assisted material may be excluded from licensing or release if Amerge cannot establish sufficient rights or copyright protection.


5. Revenue Participation

5.1 This assignment does not eliminate your contractual right to share in revenue. For this Workshop, that right is stated in this Section 5 and may later be restated or superseded by a Revenue Split Agreement signed by all affected parties. Revenue participation is not copyright ownership.

5.2 For the 2026 FWB Fest Workshop, 60% of the 1,000 revenue-participation units is reserved for direct contributors, 20% for participating crowd members, and 20% for the Amerge treasury. Amerge determines whether a participant is a direct contributor or crowd participant based on the Workshop record. The direct-contributor pool and crowd pool are each divided equally among eligible participants. Because only whole units are issued, Amerge uses a deterministic largest-remainder calculation so the allocation totals exactly 1,000 units. A later Revenue Split Agreement signed by all affected parties may state a different allocation.

5.3 Amerge may pitch, license, release, or exploit the Music before a later Revenue Split Agreement is signed, relying on the allocation in Section 5.2.

5.4 Any token, digital asset, or ledger entry representing revenue participation is initially non-transferable and conveys no copyright ownership, licensing authority, membership, voting rights, or ownership percentage in Amerge. Amerge does not guarantee liquidity, resale value, or profit.

5.5 You are solely responsible for taxes on revenue you receive.


6. Public Disclosure and Blockchain

6.1 You consent to public display of your name (or professional name) and your contribution percentage in connection with the Music, including in credits, metadata, registrations, and promotional and licensing materials.

6.2 You understand and accept that your wallet address and allocation may be recorded on a public blockchain, that such records are permanent and visible to anyone, that they generally cannot be altered or deleted by you or by Amerge, and that a wallet address may be linked by third parties to your identity and other activity.

6.3 You are responsible for the accuracy of your wallet address and for maintaining access to your wallet. Amerge may be unable to recover a lost wallet or assets sent to an incorrect address.


7. Recording, Name, and Likeness

You grant Amerge and its licensees, sponsors, partners, successors, and designees a perpetual, worldwide, irrevocable, royalty-free right to photograph, film, record, livestream, reproduce, edit, adapt, publish, distribute, display, publicly perform, advertise, and otherwise use your name, professional name, voice, image, likeness, biography, social media handle, performances, interviews, statements, and photographs, audio, video, and social content captured at or submitted in connection with the Workshop, for promotional, documentary, commercial, and editorial purposes, without additional approval or compensation. Amerge may edit or combine this material so long as it does not knowingly create a materially false or defamatory portrayal. Use as an express endorsement of an unrelated third-party consumer product requires a separate written agreement.


8. Moral Rights

To the fullest extent permitted by law, you waive and agree not to assert any moral right, droit moral, approval right, or integrity right in the Music or the Workshop media against Amerge or anyone authorized by Amerge. Where such rights cannot be waived, you consent to the authorized uses.


9. Conduct and Confidentiality

You will follow Amerge's code of conduct, session lead instructions, and venue rules. You will not disclose unreleased Music, confidential briefs, private business information, access credentials, other participants' personal information, or nonpublic licensing terms, except to your attorney or professional adviser bound by confidentiality. This does not prohibit legally protected reporting or disclosures required by law.


10. No Employment; Assumption of Risk

You participate as an independent creative contributor. Nothing creates an employment, partnership, joint venture, agency, or fiduciary relationship or entitlement to wages or benefits. You participate voluntarily and accept the ordinary risks of attending and participating in an in-person creative session. To the fullest extent permitted by law, you release Amerge and its directors, officers, members, employees, contractors, agents, sponsors, and venue partners from claims arising from those ordinary risks, except to the extent caused by that party's gross negligence, willful misconduct, or a liability that cannot lawfully be released.


11. Indemnification

You will indemnify, defend, and hold harmless Amerge and its directors, officers, members, employees, contractors, agents, sponsors, venue partners, licensees, successors, and assigns from third-party claims, losses, liabilities, damages, judgments, and reasonable attorneys' fees arising from your breach of this Agreement, an allegation that your contribution infringes another person's rights, or your negligent, reckless, willful, or unlawful conduct.


12. Membership Eligibility

By assigning Music under this Agreement you satisfy the intellectual property contribution component of eligibility to become an Amerge Maker-Member. This Agreement does not itself admit you as a member or co-owner. Admission requires Amerge's separate Membership Agreement and the requirements in Amerge's Charter Documents.


13. Governing Law; Precedence; General

California law governs. Any action must be brought exclusively in the state or federal courts in Los Angeles County, California. The parties will first attempt in good faith to resolve disputes through direct conference unless immediate injunctive relief is necessary.

This Agreement controls over the general Terms of Service as to assignment of the Music, revenue participation, recording, and likeness. A later signed Intellectual Property Rights Assignment Agreement or Revenue Split Agreement covering the same Music controls over this Agreement as to its stated subject matter. Amerge's Charter Documents control membership and governance.

This Agreement may be accepted electronically. By checking each acknowledgment, typing your legal name, and selecting “Accept and join,” you intend to sign this Agreement electronically, and your electronic signature has the same effect as a handwritten signature. You may download or print the Agreement before accepting and may request a copy by emailing hello@amerge.xyz.


ACCEPTANCE

  • I am at least 18 years old.
  • I have read and agree to the Workshop Contributor Agreement and Consent, including the assignment of copyright in Section 3, the public disclosure and blockchain terms in Section 6, and the recording and likeness grant in Section 7.
  • I confirm that my contribution will be original and that I have disclosed any pre-existing, sampled, third-party, or AI-generated material.
  • I confirm my participation does not breach any label, publishing, management, union, or guild agreement.

Amerge records your user ID, typed legal name, account email, Agreement version, acceptance time in UTC, IP address, user agent, and Workshop ID with your acceptance.
